Terms and Conditions for Sellers on Hubwagen.com

1. Scope

These Terms and Conditions (T&C) govern the use of the platform hubwagen.com by sellers. The platform is operated by:

These T&C apply exclusively to the relationship between Hubwagen.com and registered sellers. Sales contracts are concluded solely between seller and buyer. Hubwagen.com is not a contracting party to the sales agreement.

2. Subject Matter

Hubwagen.com provides sellers with an online marketplace to present and sell their goods to customers. Hubwagen.com provides the technical infrastructure (shop system, product presentation, search and filter functions, communication channels).

3. Registration and Seller Account

• Registration with complete and truthful details (name/company, address, contact information, VAT ID if applicable) is required.
• Hubwagen.com may request documents for identity or credit checks.
• Multiple registrations without consent are not allowed.

4. Seller Obligations

• Compliance with all applicable laws (product safety, GPSR, labeling, consumer protection, tax law).
• Provision of accurate, complete, and non-misleading product information.
• Provision of a valid withdrawal policy (where legally required), legal notice, and privacy policy in the seller profile.
• Independent handling of orders (delivery, warranty, returns, withdrawal).
• Ensuring that offered goods are free of third-party rights.
• Immediate notification to Hubwagen.com of material changes.

5. Specific Legal Compliance

1. Sellers must comply with all legal requirements relevant to their goods, including:
   • tax registration (e.g. VAT),
   • Packaging Act (registration in the LUCID packaging register),
   • Electrical and Electronic Equipment Act (WEEE registration),
   • Product safety law (e.g. CE marking, declarations of conformity).
2. Sellers must provide Hubwagen.com with relevant registration numbers or documentation upon request.
3. Hubwagen.com may suspend offers or accounts if documentation is missing or legal requirements are not met.
4. Sellers indemnify Hubwagen.com against all claims arising from violations of legal requirements by the seller.

6. Content and Intellectual Property

1. Sellers may only upload content (texts, images, logos, datasheets, technical info, etc.) for which they hold the necessary rights or legal authorization.
2. By uploading content, the seller grants Hubwagen.com a simple, irrevocable, worldwide, perpetual, royalty-free right to:
   • display the content on hubwagen.com,
   • technically reproduce and adapt it (e.g. format/size adjustments),
   • use it in marketing and promotional activities beyond the platform (e.g. social media, price comparison portals, newsletters, online ads).
3. This license remains valid even after account termination where necessary for documentation or archival purposes.
4. The seller guarantees that all content is free of third-party rights and does not violate any laws.
5. The seller indemnifies Hubwagen.com from any third-party claims based on violations of intellectual property or other rights caused by the content.

7. Services by Hubwagen.com

• Enabling sellers to list products on the platform.
• Providing customers with a technical ordering option.
• No guarantee for specific availability or reach; Hubwagen.com strives for stable operations.
• Right to remove unlawful or T&C-violating content/offers.

8. Fees

Use of the platform may be subject to fees or commissions. Current rates and billing procedures will be communicated separately before conclusion of the agreement.

9. Payments and Commissions

1. All payments between seller and buyer are processed directly. Hubwagen.com is not a contracting party and assumes no responsibility for payment processing.
2. For use of the platform, Hubwagen.com charges a commission based on the full gross sales value, including VAT and shipping costs, per successfully mediated transaction.
3. The applicable commission rates are set out in the current fee schedule or in separate agreements.
4. Billing is carried out monthly by collective invoice. The invoice amount is payable within 14 days of receipt without deduction.
5. In case of late payment, Hubwagen.com may charge statutory interest and suspend the seller account until outstanding amounts are paid.

10. Withdrawal and Cancellations

1. Withdrawals and cancellations are handled exclusively between buyer and seller. Hubwagen.com is not involved in this process.
2. The commission is generally due regardless of a withdrawal or cancellation.
3. A refund of the commission will only be granted if the seller provides Hubwagen.com with proof of a corresponding credit note or cancellation invoice within 10 days of the withdrawal/cancellation. Proof may be provided by e-mail (e.g. CC when sending the credit note to the customer).
4. After expiry of this period, refunds are excluded. Collective or retroactive cancellation reports will not be accepted.

11. Rights of Hubwagen.com

• Suspension of sellers or offers in case of violations of laws, third-party rights, or these T&C.
• Rejection or removal of content where necessary.

12. Liability

• Unlimited liability only in cases of intent or gross negligence.
• In cases of slight negligence, liability is limited to essential contractual duties and foreseeable, typical damages.
• No liability for accuracy of seller-provided content or offers.
• No liability for disruptions in contracts between seller and buyer.

13. Indemnification

Sellers indemnify Hubwagen.com from all claims brought by third parties due to seller content or offers. This includes reasonable legal defense costs.

14. Term and Termination

• The contractual relationship runs for an indefinite term.
• Either party may terminate with 30 days’ notice to the end of a month.
• The right to extraordinary termination remains unaffected.

15. Changes to the Terms

Hubwagen.com may amend these T&C. Sellers will be notified at least 30 days before they take effect. If the seller does not object within this period, the changes are deemed accepted.

16. Applicable Law and Jurisdiction

These T&C are governed by the laws of the Republic of Cyprus. Where legally permissible, exclusive jurisdiction is the registered office of Hubwagen.com.

17. Severability

If any provision of these T&C is invalid, the validity of the remaining provisions shall remain unaffected.
